Japan Tobacco acquires RYO/MYO maker

Japan Tobacco acquired Gryson NV, a Belgian manufacturer of roll-your-own (RYO) and make-your-own (MYO) tobacco products, for EUR 475 million.

Gryson, whose brands include Fleur du Pays – the leader in France’s RYO/MYO market – Orlando and Domingo, posted a total sales volume of approximately 3,900 tons in 2011, which is an equivalent of 5.2 billion cigarettes. Operating profit in 2011 was EUR 29.0 million.

The company had in 2011 a share of the RYO/MYO market of 20.8 per cent in France, 5.9 per cent in Belgium (excluding private labels), 9.6 per cent in Spain and 22.9 per cent in Portugal.

JT also acquired related companies V.D.M. Invest (Belgium), Disprotab S.L. (Spain) and Gryson Deutschland GmbH (Germany). The acquisition was agreed between JT Group and GT&Co BVBA, which controls Gryson, and is expected to be completed within the current year.
The transaction is valued at 12.3 times the acquired companies’ underlying earnings before interest, tax, depreciation and amortization of EUR 38.7 million forecasted for 2012. JT said it will fund the acquisition by a combination of existing funds and loan facilities. (ci)
